Passing time: You're spending time until a certain period that you know you're going to have to do something.
Ex: I'm passing time until I have to go out to the store for such and such.
Wasting time: Not crap to do, waste the time you have left.
Ex: I have one minute until I'm off from work. I have nothing else to do so I'll just waste it here until I'm officially off from work.
